• After listing as a financial printing service provider, the client company transformed from a financial printing service provider to an electric vehicle charging service provider

• Maximize the client business opportunity with Hatcher Group’s network

• Design the deal structure and advise on the business expansion

• Advise on the Listing Rules and the Takeovers Code with respect to the proposed mandatory unconditional cash offer

• Assessment of relevant facts and company financials

• Liaising with the Hong Kong Stock Exchange and Securities and Futures Commission

KEY ISSUES

• A deal of this complexity required a financial adviser with deep corporate finance experience with pretty much the whole corporate finance chemistry set engaged

• Structure the proposed mandatory unconditional cash offer required careful planning and discussion with the regulators to avoid any special deal complications
